Agreement to Terms

These Terms of Service ("Terms") govern your use of the Confidants mobile application ("App") operated by Wayne Studios LLC ("we," "our," or "us").

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Description of Service

Confidants is an AI-powered journaling and reflection app that allows you to create personalized AI companions ("Confidants") for emotional support, self-reflection, and personal growth. The App provides chat-based conversations, automatic journal generation, and weekly reflection summaries.

Important Mental Health Disclaimer

Confidants is NOT a substitute for professional mental health care.

The AI Confidants in this app are not licensed therapists, counselors, psychologists, or medical professionals. They cannot diagnose conditions, prescribe treatments, or provide medical advice.

Confidants is designed to complement, not replace, professional mental health support.

Account Registration

To use certain features of the App, you must create an account. You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You must be at least 13 years old to create an account and use the App.

Acceptable Use

You agree NOT to use the App to:

  • Violate any applicable laws or regulations
  • Harm, threaten, or harass others
  • Generate, store, or share illegal content
  • Attempt to manipulate or "jailbreak" the AI
  • Use the service for any commercial purpose without our permission
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any part of the service

We reserve the right to suspend or terminate accounts that violate these terms.

Subscriptions and Payments

Confidants offers both free and paid subscription tiers. Paid subscriptions are processed through the Apple App Store.

  • Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
  • Auto-Renewal: Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period.
  • Cancellation: You can cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds: Refund requests are handled by Apple according to their refund policy.

Intellectual Property

The App, including its design, features, and content (excluding user content), is owned by Wayne Studios LLC and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create in the App, including your journal entries and conversations. By using the App, you grant us a limited license to process your content as necessary to provide the service.

AI-Generated Content

The responses from your AI Confidants are generated by artificial intelligence.

  • AI responses may not always be accurate, complete, or appropriate
  • AI responses are not professional advice of any kind
  • You should not rely solely on AI responses for important decisions
  • We are not responsible for any actions you take based on AI responses

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYNE STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or content
  • Emotional distress arising from use of the App
  • Reliance on AI-generated responses
  • Interruption of service

Our total liability for any claims arising from your use of the App shall not exceed the amount you have paid us in the past twelve months.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the App will immediately cease
  • You may request deletion of your data in accordance with our Privacy Policy
  • Any provisions of these Terms that should survive termination will remain in effect

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of Texas.

Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting a notice in the App or sending you an email. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
